Rekruitec – Terms of Service (TOS)

Company: Rekruitec FZ-LLC (“Rekruitec”, “we”, “our”, “us”)
Client: Any individual or organization engaging Rekruitec’s services (“Client”, “you”, “your”)
1. Overview
Welcome to Rekruitec. These Terms of Service (“Terms”) outline how we deliver recruitment and talent solutions across all our models - Recruitment as a Service (RaaS), SaaS Sourcing, Executive Search and Contingency Search.
By using any Rekruitec service, you agree to these Terms. Please read them carefully, they’re designed to ensure clarity, transparency and fairness for both sides.
2. Scope of Services
Rekruitec offers four service models:
2.1. Recruitment as a Service (RaaS)
A subscription-based model billed monthly, giving clients end-to-end recruitment support across roles, functions and industries. Each plan includes a fixed number of hiring credits valid for 12 months.
2.2. SaaS Sourcing (Credit-Based Model)
A pay-per-role model where clients purchase sourcing credits.
Each credit entitles the client to receive up to 6 pre-vetted, interview-ready candidates for one specific role.
Shortlisted candidates are sourced, screened and delivered via the emails.
2.3. Executive Search
A retained recruitment service for senior, niche, or leadership positions.
Fees and payment structure (retainer, success fee, or flat rate) are agreed separately in writing before project commencement.
2.4. Contingency Search
A success-based recruitment model where Rekruitec charges a flat 10% of the candidate’s annual gross salary per successful hire.
No fees are payable unless a hire is made.
3. Billing & Payment Terms
3.1. All services are invoiced in AED (United Arab Emirates Dirhams) unless otherwise specified.
3.2. Payments must be made within 14 days of invoice date, unless otherwise stated.
3.3. Rekruitec reserves the right to suspend services in case of delayed or non-payment.
3.4. All fees are exclusive of VAT and applicable taxes, which will be added to invoices as per UAE law.
3.5. Pricing and plans may be reviewed or adjusted with 30 days’ written notice.
4. RaaS - Cancellation & Fair Usage Policy
4.1. Clients may cancel anytime before the next billing cycle.
4.2. If a client decides to cancel before completing 12 months and has used more hiring credits than proportionate to payments made, Rekruitec will reconcile usage as follows:
Excess hires (beyond what payments cover) will be billed under Rekruitec’s contingency rate at 10% of each candidate’s annual gross salary and a separate invoice will be raised for the difference
4.3. Unused credits expire immediately upon cancellation.
4.4. No refunds are provided for the current month.
4.5. Clients may reactivate within 6 months without losing data.
5. SaaS Sourcing (Credit Model) Terms
5.1. Each purchased credit authorizes Rekruitec to source, screen and deliver up to 6 shortlisted, interview-ready candidates for a single job role.
5.2. Credits are valid for 90 days from the purchase date unless otherwise agreed.
5.3. Once a credit is consumed (upon delivery of a shortlist), it cannot be reused for another role.
5.4. If a client wishes to refill or extend credits, additional purchases will be billed per Rekruitec’s current pricing.
5.5. Rekruitec provides sourcing and shortlisting but does not guarantee a successful hire under the SaaS model.
6. Executive Search Terms
6.1. Executive Search projects are managed under a separate, customized agreement.
6.2. Fees may include retainers, success-based payments, or flat rates depending on role complexity and seniority.
6.3. Rekruitec will define deliverables, milestones and timelines in a formal proposal before project start.
6.4. If a retained project is paused or canceled by the client mid-way, fees already paid are non-refundable and any work completed will be invoiced pro-rata.
7. Contingency Search Terms
7.1. A fee of 10% of the hired candidate’s annual gross salary is payable upon acceptance of an employment offer by the candidate.
7.2. Invoices become due on the candidate’s joining date.
7.3. Rekruitec offers a 90-day free replacement if the candidate resigns or is terminated within that period (excluding layoffs or structural changes).
7.4. Replacement is void if the client fails to notify Rekruitec of resignation within 5 business days or cancels the partnership.
7.5. If a candidate is hired within 6 months of introduction, Rekruitec’s fee remains applicable.
8. Candidate Ownership & Replacement
8.1. A candidate is considered “introduced” when their details are shared with the client by Rekruitec.
8.2. If the client or its subsidiary hires a Rekruitec candidate through another channel within 6 months of introduction, full fees as per contingency plan shall apply.
8.3. Replacement guarantees apply only for candidates hired directly through Rekruitec and within active contracts.
9. Client Responsibilities
9.1. The Client agrees to provide accurate job details, timely feedback and transparency on candidate status.
9.2. Clients must inform Rekruitec immediately upon making an offer or hire.
9.3. Delays in feedback or communication may impact service timelines; Rekruitec shall not be held responsible for such delays.
10. Confidentiality & Data Protection
10.1. Both parties agree to maintain strict confidentiality of all proprietary, candidate and client-related data.
10.2. Rekruitec complies with UAE and GDPR data protection standards.
10.3. Candidate data is for the Client’s internal use only and may not be shared with third parties without Rekruitec’s written consent.
11. Intellectual Property
All tools, databases, platforms and processes used in delivering services remain the exclusive property of Rekruitec.
Clients receive a limited, non-transferable license to use any Rekruitec’s systems for internal recruitment purposes only.
12. Limitation of Liability
Rekruitec shall not be liable for any indirect, consequential, or incidental damages (including loss of profit, data, or opportunity).
In all cases, Rekruitec’s total liability shall not exceed the total fees paid by the client in the preceding three (3) months.
13. Non-Solicitation
Clients shall not directly employ or contract Rekruitec employees or consultants during the engagement and for 6 months thereafter without prior written consent.
14. Force Majeure
Rekruitec shall not be held liable for delays or non-performance caused by factors beyond reasonable control, including natural disasters, internet outages, or government restrictions.
15. Termination
Rekruitec reserves the right to suspend or terminate services immediately if:
The client breaches payment or usage terms,
Engages in fraudulent or abusive activity, or
Misuses access to Rekruitec’s data or platform.
Outstanding invoices will become payable immediately upon termination.
16. Governing Law & Jurisdiction
These Terms are governed by the laws of the United Arab Emirates.
Any disputes shall first be resolved amicably; failing which, jurisdiction shall rest with the courts of Dubai, UAE.
17. Updates to Terms
Rekruitec may update these Terms periodically. Updated versions will be posted on our website and become effective upon publication. Continued use of our services constitutes acceptance of the revised Terms.
